These Terms of Service (“Terms”) govern the use of Affekt, a cloud-based software-as-a-service platform for music catalog management, contract management, royalty imports, royalty calculations, statement generation and payout workflows (“Affekt”, the “Service”).

By creating an account, subscribing to a plan, accessing or using Affekt, you agree to these Terms.
Affekt is a web-based SaaS platform designed for independent music labels, music companies, rights owners and related music businesses. The Service enables users to manage artists, payees, releases, tracks, contracts, royalty imports, royalty calculations, statements and related reporting workflows.
Affekt is a software tool. Affekt does not provide legal, tax, accounting or financial advice. Users remain responsible for verifying the accuracy of all catalog data, contract data, royalty calculations, statements, tax treatment and payout decisions generated or managed through the Service.
To use Affekt, you must create an account and provide accurate, complete and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities carried out under your account.
You must notify us immediately if you suspect unauthorized access to your account.
You retain ownership of all data, files, catalog information, sales reports, contract information, royalty data, payee information and other content uploaded to or created within Affekt (“Customer Data”).
You grant Affekt Digital GmbH the limited right to process Customer Data solely for the purpose of providing, maintaining, securing and improving the Service.
You are responsible for ensuring that you have the necessary rights and permissions to upload and process Customer Data in Affekt, including any personal data of artists, payees, employees, contractors or other third parties.
You agree not to use Affekt:
We may suspend or restrict access to the Service if we reasonably believe that your account is being used in breach of these Terms or applicable law.
Affekt is offered on a subscription basis. Available plans, features, usage limits and prices are shown on our pricing page or in an individual offer.
Payments are processed by Paddle, which may act as merchant of record, reseller and/or payment processor for transactions. Paddle may handle payment collection, invoices, taxes, subscription management, cancellations and refunds according to its own buyer terms and refund policy.
By subscribing to Affekt, you authorize recurring billing for the selected subscription plan until the subscription is cancelled.
We may offer free trials, beta access or introductory plans at our discretion. Trial access may be limited in time, functionality or usage volume.
Upgrades may take effect immediately or at the start of the next billing period, depending on the billing setup. Downgrades may result in reduced functionality, lower usage limits or restricted access to certain features.
You may cancel your subscription according to the cancellation options provided in your Affekt account, via Paddle’s subscription management tools, or by contacting us.
Unless otherwise stated, cancellation stops future renewals but does not automatically refund fees already paid for the current billing period.
After cancellation, your access to paid features may continue until the end of the current billing period.
Refunds are handled in accordance with our Refund Policy and, where applicable, Paddle’s buyer terms and refund policy. Statutory rights remain unaffected.
We aim to provide a reliable and secure Service. However, we do not guarantee uninterrupted or error-free availability. The Service may be temporarily unavailable due to maintenance, updates, technical issues or events outside our control.
Support is provided through the channels described on our website or within the Service.
Affekt, including its software, user interface, design, workflows, documentation, trademarks and related intellectual property, is owned by Affekt Digital GmbH or its licensors.
These Terms do not transfer any intellectual property rights to you. You receive a limited, non-exclusive, non-transferable right to access and use the Service during your active subscription.
Both parties may receive confidential information in connection with the Service. Each party agrees to protect confidential information with reasonable care and not to disclose it to third parties except where required for the provision of the Service, by law, or with prior consent.
The processing of personal data is described in our Privacy Policy. Where Affekt processes personal data on behalf of a customer as a processor, the parties may enter into a separate Data Processing Agreement where required by applicable data protection law.
We may maintain backups for operational and security purposes. However, you remain responsible for regularly exporting and securing important data where needed.
Upon cancellation or termination, access to Customer Data may be limited or removed after a reasonable retention period, unless legal obligations require longer storage.
To the maximum extent permitted by applicable law, Affekt Digital GmbH shall not be liable for indirect, incidental, special or consequential damages, loss of profits, loss of revenue, loss of business opportunities, loss of data or reputational harm.
Nothing in these Terms limits liability for intent, gross negligence, injury to life, body or health, or any liability that cannot be excluded under applicable law.
We may update the Service and these Terms from time to time. Material changes will be communicated in an appropriate manner. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
We may suspend or terminate access to the Service if you materially breach these Terms, fail to pay applicable fees, use the Service unlawfully, or create security, legal or operational risks.
These Terms are governed by the laws of Germany, excluding conflict-of-law rules. If you are acting as a business customer, the courts competent for the registered seat of Affekt Digital GmbH shall have jurisdiction, unless mandatory law provides otherwise.
